Elevate is currently sourcing French Speaking Company Secretary to work with our client, a Global Energy Company.

 

Specifically you will be:

  • Organising and preparing Board meetings and Shareholders’ Meetings, fixing meeting dates/working on Board planning in accordance with OHADA legal delays. Managing adjournments of Board meetings, liaising with directors- in particular drafting a number of letters to the Director representing the project.
  • Drafting of Board documentation (agendas, minutes, reports, Board papers, Chairman’s memos) and advising, in relation to annual accounts, change of directors, registered office, Articles of Association, or any other company matters. Translating some papers into French for the Director representing the project.
  • Preparing or reviewing Board papers, formatting Board papers and converting them into pdfs. Liaising with statutory auditor and working with E&M to prepare Board meetings and papers.
  • Advising on any OHADA company legal aspects.
  • Reviewing Board papers, preparing and obtaining Board approvals on written resolutions for the company and implementing equity injections.
  • Advising on company legal aspects, liaising with external legal counsels and providing documents for data room, due diligence and staff appointments.
  • Advising on and implementing transaction/liaising with IFC, drafting Board papers, arranging Board meetings, drafting legal documentation, drafting step plan, commenting on Tax and Treasury sign off paper, completing legal formalities with foreign notaries, Registry of commerce, legal publications, etc.
  • Advising on loan reorganisation following the implementation of IFC Put Option.
  • Drafting Powers of Attorney and proxies.
  • Completion of any regulatory filings, legal publications and any legal/ tax formalities in Africa, with notaries (legalisations,), Tax authorities, Registries of commerce.
  • Management of company registries, minute books and records of the company.

Experience:

  • 10+ Years PQE
  • Previous experience with African jurisdictions would be useful but not essential.
  • Upstream Energy knowledge and experience will be a bonus.

 

Qualifications:

  • Qualified Lawyer in England and Wales (or equivalent)
  • ICSA CSQS qualification
